PRACTICE

Our Arizona based practice encompasses your business life cycle, from initial formation, organization, and stakeholder agreements, to capital funding, to corporate and commercial alliances and transactions, to exit and succession. We also assist with alternative dispute resolution and litigation assistance, for both clients and non-client companies and firms. We provide services both in Arizona and nationwide, with an emphasis on Delaware incorporated entities.

Corporate Transactional

Our Corporate Transactional Practice encompasses both acquisitions and finance. We represent buyers and sellers in mergers and acquisitions, including asset purchase transactions, stock sales, division sales, core IP licensing, joint ventures and other business combinations and strategic alliances. Our finance practice includes all stages of finance, including seed/angel financing, high net worth individual financing, venture capital, family office and private equity transactions. We assist with capital formation through all phases of your growth cycle, and represent both businesses and investors. We have vast experience in these areas, and have represented both Fortune 500 companies and small closely held businesses in transactions valued from the billions of dollars to the low millions.

General Corporate and Commercial

Our general corporate practice entails advice on choice of entity, entity formation (including C and S corporations and LLCs), corporate organization, including all forms of stockholder agreements (such as buy-sell, registration rights, voting) and LLC operating agreements, both simple and complex), and employment and consulting agreements. We also assist with IP agreements such as patent and trademark licensing and R&D Agreements, and confidentiality agreements, or NDAs. Our general corporate practice includes advice and counsel on core corporate governance matters, such as Board of Director and Manager duties, committee charters and stockholder-corporate-board relations. Our commercial practice encompasses all forms of channel and product agreements, including manufacturing and supply chain agreements, OEM, sales and distribution agreements, consulting agreements, commercial loans and equipment leasing and finance.

Outside General Counsel

Our Outside of Fractional General Counsel Services are designed primarily for businesses with semi recurring needs that are not full time. Our typical engagements are with either businesses that can benefit on a day to day level from an embedded legal professional, but cannot justify the organizational cost or overhead of a permanent in house legal staff, or by more established entities with an in house legal department that need occasional corporate specialization outside the field of in house professionals. The key value of our outside general counsel practice is it allows businesses to work with counsel intimately familiar with your individual business, personnel, and industry, rather than engaging outside counsel for sporadic individual transaction engagements who may not be as attuned to your unique culture and goals, and may not be deployed as rapidly and seemlessly as counsel that is part of your team. Our outside general counsel fee structures are tailored to your unique needs and resources, rather than a standard hourly rate. This can be critical for emerging entities that may otherwise forego legal assistance at critical formative times, when larger problems down the road can be avoided.

Pre-Litigation and ADR

Although our practice is centered around transactional matters that are designed to help build your business, it is an unfortunate fact of business life that disputes do happen and are usually costly, time consuming and distracting if litigation ensues. We can assist in several ways. We have engaged with many clients to assist in avoiding litigation by negotiating commercial resolutions, and by assisting you in less formal venues such as mediation and arbitration. This is a natural outgrowth of our expertise given that most business to business disputes originate from the types of agreements and relationships that we are involved with every day. Our background in business management and operations can also be an advantage to a litigation attorney who does not have hands on experience with developing, manufacturing or selling a product or building a non-legal business. For non-clients, we offer independent, objective, and expert services as a mediator or arbitrator for companies that have elected alternative dispute resolution (ADR). Unlike many mediators and arbitrators, we do not come from a judicial position. We have subject matter expertise in commercial and corporate matters, making your ADR process far more efficient and predictable.
